FERRA SUBSCRIPTION TERMS OF SERVICE

These Terms of Service (“Terms”) govern Your access and use of the Ferra subscription services, the Website, mobile applications, the Ferra Workout Machine, and any software, content, or training programs provided by Aroleap Fitness Private Limited (“Company”).

Aroleap Fitness Private Limited is a private limited company registered under the Companies Act, 2013, with its registered office at:

The Company owns and operates the website www.aroleap.com and related technology platforms through which the Ferra branded subscription services are offered.

Any reference to “We”, “Us”, or “Our” refers to the Company. Any individual accessing or using the Ferra subscription services, the Website, or the Product shall be referred to as “User”, “You” or “Your”.

By accessing or using Ferra, You agree to these Terms. If You do not agree, do not use the Services.

These Terms constitute an electronic record under the Information Technology Act, 2000, and do not require physical or digital signatures.

1. DEFINITIONS

For these Terms:

  • “Ferra” refers to the subscription-based fitness services offered by the Company.
  • “Ferra Workout Machine” refers to the connected fitness hardware owned and sold by the Company and compatible with Ferra software and subscription features.
  • “Services” / “Subscription Services” refers to digital content, software access, features, and benefits included under the Ferra subscription.

2. ELIGIBILITY

You may use Ferra only if:

  1. You are 18 years of age or older.
  2. You agree to comply with these Terms.
  3. You comply with all applicable laws during access and usage.

You are solely responsible for preventing minors from accessing Your account.

3. DESCRIPTION OF FERRA SUBSCRIPTION SERVICES

Ferra provides subscription-based digital fitness services including, but not limited to:

  • Workout content, classes, and virtual training programs
  • Software features integrated into the Ferra Workout Machine
  • Personalized coaching, analytics, and progress tracking
  • Community features, challenges, and leaderboards
  • Online training sessions (live/recorded), if included in Your plan

The specific features available depend on the chosen subscription tier.

The Ferra subscription is provided strictly for personal use.

4. CHANGES TO THE FERRA SERVICES

The Company may, at its sole discretion:

  • Modify, add, or remove Ferra features
  • Change subscription fees or billing cycles
  • Introduce new subscription tiers or discontinue existing ones

You will be notified of material changes via email, Website updates, or in-app notifications.

5. ACCOUNT REGISTRATION

To use Ferra, You must create an account via:

  • Mobile number
  • Email address
  • Supported social login platforms

You are responsible for:

  • Maintaining confidentiality of login credentials
  • Ensuring accuracy of provided information
  • All activity conducted through Your account

The Company may suspend or terminate accounts for misuse or violation of these Terms.

6. LICENSE

Upon subscribing, You receive a limited, revocable, non-exclusive, non-transferable license to:

  • Access Ferra content
  • Use Ferra software on supported devices
  • Operate the Ferra Workout Machine with Ferra subscription features

This license does not grant ownership of any intellectual property.

7. PROHIBITED USES

You agree not to:

  1. Copy, record, download, redistribute, or commercially exploit Ferra content.
  2. Share Your login credentials or allow third-party access.
  3. Use Ferra or the Ferra Workout Machine in commercial gyms, studios, or training centers without written permission.
  4. Upload or transmit unlawful, offensive, or infringing content.
  5. Reverse engineer, tamper with, or attempt to bypass software protections on the Ferra Workout Machine or Ferra software.
  6. Impersonate others or misrepresent affiliation.

Violation may lead to suspension, termination, or legal action.

8. SUBSCRIPTION FEES, BILLING & PAYMENT

8.1 Subscription Fees

Fees are charged in INR and payable in advance under:

  • Monthly
  • Quarterly
  • Annual
  • Or other available billing cycles

8.2 Payment Methods

Accepted methods include:

  • Credit/debit cards
  • UPI
  • Net banking
  • Wallets
  • Other legally permitted payment methods

Payments are processed via third-party gateways.

8.3 Auto-Renewal

Ferra subscriptions auto-renew unless cancelled before renewal.

8.4 Failed Payments

Failed payments may result in temporary suspension until resolved.

9. CANCELLATION & REFUNDS

9.1 Cancellation

You may cancel anytime through Your account.

9.2 Refunds

Unless legally required:

  • Subscription payments are non-refundable
  • No prorated refunds are offered for partial billing cycles
  • Refunds may be considered only for billing errors or extended technical outages

9.3 Trials

Trials convert to paid plans unless cancelled before the trial ends.

10. FERRA WORKOUT MACHINE & SUBSCRIPTION INTERACTION

Certain features on the Ferra Workout Machine require an active Ferra subscription.

If Your subscription expires:

  • Access to advanced features, analytics, training content, and progress tracking may be restricted
  • Basic functions (if any are offered) may continue at the Company’s discretion

11. HARDWARE DELIVERY, INSTALLATION & RETURNS (IF APPLICABLE)

Purchase of the Ferra Workout Machine may involve separate hardware purchase terms which cover:

  • Delivery
  • Damage during transit
  • Installation
  • Returns & refunds
  • Warranty terms

Those terms operate in addition to this Subscription Terms document.

13. DATA PROTECTION

To deliver Ferra Services, the Company may collect personal data such as:

  • Workout and fitness performance data

Data processing follows the Company’s Privacy Policy, available on the Website.

You explicitly consent to such data collection and processing.

14. INTELLECTUAL PROPERTY

All intellectual property related to:

  • Ferra brand
  • Ferra software
  • Ferra Workout Machine software
  • All training content, UI, illustrations, and algorithms
  • Trademarks, logos, and images

is the exclusive property of Aroleap Fitness Private Limited.

Unauthorized reproduction or distribution is strictly prohibited.

15. THIRD-PARTY LINKS

Ferra may link to third-party sites. The Company is not responsible for:

  • Their content
  • Privacy practices
  • Reliability
  • Services

Use of such sites is at Your own risk.

16. DISCLAIMER OF WARRANTIES

YOU AGREE THAT FERRA (INCLUDING THE FERRA WORKOUT MACHINE SOFTWARE AND DIGITAL CONTENT) IS PROVIDED “AS-IS” AND “AS-AVAILABLE”.

To the fullest extent permitted by law, the Company disclaims all implied warranties.

17. NO MEDICAL ADVICE

Ferra content does not constitute medical advice.

Consult a medical professional before starting any fitness program, especially if You have pre-existing conditions.

The Company is not liable for health issues arising from use of the Ferra Workout Machine or Ferra subscription content.

18. LIMITATION OF LIABILITY

The Company shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data, revenue, or business
  • Injuries arising from improper use of the Ferra Workout Machine or Ferra Services

Maximum liability is limited to the amount paid in the most recent billing cycle.

19. INDEMNIFICATION

You agree to indemnify the Company against claims arising from:

  • Misuse of Ferra
  • Violation of laws
  • Breach of Terms
  • Third-party claims arising from Your actions

20. TERMINATION

The Company may terminate Your access to Ferra if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Payments fail repeatedly

Upon termination, Your license to use Ferra is immediately revoked.

21. GOVERNING LAW & JURISDICTION

These Terms are governed by Indian law.

All disputes are subject exclusively to the courts of Bangalore, Karnataka.

22. GOVERNMENT COMPLIANCE

To comply with law, the Company may:

  • Disclose data to government authorities upon lawful request
  • Retain account data for 180 days after deletion or cancellation
